1. About these terms

These terms apply when you create an Agentline account or use the Agentline website, API or MCP server (the "service"). The service is provided by Lloyd Vickery, a sole trader of New Zealand, trading as Agentline ("we", "us"). By using the service you agree to these terms, our privacy policy and our acceptable use policy.

2. Your account

  • You must be 18 or older and give us a working email address.
  • You're responsible for everything done through your account, including by AI agents, API keys and connected apps you authorise. Keep your API keys secret and revoke any you no longer use.
  • If you use the service for a business, you confirm you're authorised to bind it, and you agree the Consumer Guarantees Act 1993 doesn't apply to the extent the law allows (section 43).

3. Numbers and inboxes

  • Phone numbers are NZ 028 business messaging numbers leased from our New Zealand carrier partner and assigned to you, and only you, while your subscription is active. You don't own the number and can't port it out in this version of the service.
  • Numbers are assigned by hand, usually within one business day of your first payment. Your inbox and the rest of the service work in the meantime.
  • After cancellation or non-payment, numbers and inboxes are held for a 14-day grace period and then released. We can't recover a released number.
  • We may need to change a number if a carrier or regulator requires it. We'll give you as much notice as we can.

4. Your responsibilities as sender

You are the sender of messages and calls made through your account. You must comply with the Unsolicited Electronic Messages Act 2007, the Privacy Act 2020, the Fair Trading Act 1986, the Harmful Digital Communications Act 2015 and all other applicable laws, and with our acceptable use policy. You must get any consent the law requires before your agent contacts someone.

SMS may only be used for transactional and administrative messages to your own customers, contacts, staff or suppliers. You must not use SMS for marketing, promotions, bulk messaging, premium-rate content or reselling third-party content. These restrictions also come from our carrier, which may block a number or account that breaches them.

5. Fees and billing

  • Plans are billed monthly in advance in NZD through Stripe. We are not registered for GST, so no GST is charged. If we register in future, we will tell you at least 30 days before any change to what you pay.
  • Plan allowances reset monthly and don't roll over. When you reach an allowance, sending pauses; we don't charge overages without your agreement.
  • You can cancel anytime from the billing portal. Cancellation takes effect at the end of the current billing period. Fees already paid aren't refunded, except where the law requires.
  • We may change prices with at least 30 days' notice by email.

6. Suspension and termination

We may suspend sending or suspend your account straight away if we reasonably believe you've breached these terms or the acceptable use policy, if a carrier or authority requires it, or to protect the service or others. Where it's appropriate, we'll tell you why and give you a chance to respond.

7. Service availability

We work to keep the service reliable, but SMS, email and voice depend on third-party networks. We don't guarantee delivery or that any third-party service will accept an Agentline number. Our SMS carrier doesn't provide delivery receipts, doesn't guarantee inbound delivery, and doesn't guarantee caller ID on outbound messages. Don't use the service for emergency communications (it can't reach 111) or anything where a missed message could cause harm.

8. Liability

To the extent the law allows, we're not liable for indirect or consequential loss, or for loss caused by AI agents acting on your instructions, and our total liability in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that can't be excluded.

9. Changes

We may update these terms. For material changes, we'll email you at least 14 days before they take effect.

10. Governing law

These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction.
